YouTube, Inc., the explosive new Internet company for uploading and sharing digital video (www.youtube.com), is seeking a corporate counsel for its San Mateo, California office.  YouTube is a small but fast growing start-up company with a highly collaborate, dynamic and open environment.  Position reports to the General Counsel. 

Job responsibilities will include:

• Support YouTube’s new Internet ad-sales group:  create and maintain template agreements and legal procedures for the ad-sales group; review, advise on, and help negotiate creative sales and ad infrastructure agreements/proposals of various types.
• Negotiate and draft various other types of agreements, including:
  • Marketing, promotion, e-commerce and contest agreements with websites, device manufacturers and content companies;
  • Internet video license agreements with TV networks, movie studios and independent record companies
  • NDAs, bandwidth, rackspace, technology, employment agency and other agreements required of a fast-growing Internet media company
• Assist in compliance with copyright laws, DMCA procedures, and laws and policies relating to various types of content uploaded to the site (adult, violent, etc…)
• Oversee and maintain website agreements such as privacy policy, terms of use, end user license agreements
• Assist with patent and trademark issues
• Help create and maintain legal policies for the company generally

 The ideal candidate will have the following credentials:

• JD with an excellent academic record
• 3-6 years transactional experience with a focus on Internet media, Internet commerce, licensing, and intellectual property issues
• Knowledge of Internet law issues and digital media industry
• Excellent business judgment and ability to multitask
• Excellent writing and negotiation skills
• Highly motivated and independent worker, excited by a very fast-paced, cutting-edge environment
