Atlanta - Arris, an Atlanta-based communications technology company specializing in broadband networks, announced on Tuesday that it plans to acquire Tandberg Television, a U.K.-based provider of digital video delivery networks.

Under the agreement, Arris will pay about $1.2 billion in a combination of cash and stock to acquire Tandberg, which offers products for IPTV, HDTV, video-on-demand, advertising on-demand and interactive TV.

The two companies will merge to "produce a new company, unique in its ability to enable voice, video and data over any network and to any device," a Tuesday announcement on the deal said.
