Irvine, Calif. - New Motion, a provider of mobile and gaming entertainment properties, announced on Thursday that it has agreed to merge with interactive marketing firm Traffix in an all-stock deal valued at $138.9 million.

Founded in 2005, Irvine, Calif.-based New Motion operates brands including MobileSidewalk, a mobile entertainment portal; Ringtone Channel, Bid4Prizes and GatorArcade.

The companies said that, following expected closure of the deal by the end of the year, the newly combined company expected 2008 revenues of between $145 and $160 million.
