Shanghai, China - Focus Media (NASD: FMCN), China's larges digital media group, announced on Monday that it will acquire CGEN Digital Media Company, the operator of an in-store digital advertising network in China, for $168.4 million in cash.

The deal also calls for an additional payment of up to $181.6 million, contingent upon CGEN meeting certain earnings targets.
