Toronto - JumpTV, a Toronto-based broadcaster of live and on-demand sports and international television programming over the Internet, announced on Monday that it will merge with NeuLion, an IPTV service that offers live and on-demand sports, international and religious programming over the Internet and through set-top boxes.

Under the terms of the deal, which is expected to close in October, JumpTV will issue about $40 million in shares to NeuLion.

Founded in 2004, New York-based NeuLion provides IPTV services to the NHL and International Fight League, and also delivers a set-top box-based IPTV service to customers including ABS-CBN (Philippines), KylinTV (China) and Globecast (France).

NeuLion recorded revenues of $7.8 million and a net loss of $4 million in 2007.

The combined company will count more than 200 partnerships with pro and collegiate sports properties, and another over 200 partnerships with international networks and channels -- targeted mainly at foreigners living abroad.
