Game Publisher Bam Entertainment Delisted from Nasdaq

San Jose, Calif. -- Struggling video game publisher Bam Entertainment announced on Thursday that its shares will be delisted from the Nasdaq SmallCap Market, effective on Friday. The ruling follows the company's failure to file its annual report on time, and provide evidence of shareholders' equity of at least $2.5 million. San Jose, Calif.-based Bam has created titles based on licenses of Cartoon Network properties including "The Powerpuff Girls" and "Dexter's Laboratory," as well as games such as "Ballistic: Ecks vs. Sever," "Reign of Fire" and "State of Emergency." Bam said that, following its delisting from the SmallCap market, it expects its common stock will continue to be quoted on the Pink Sheets service.

Game Publisher Bam Entertainment to Acquire Scottish Developer VIS

San Jose, Calif. -- Video game publisher Bam Entertainment announced on Wednesday that it will acquire Scottish game developer VIS Entertainment, as well as SOE Development Limited, a company set up to fund the development of "State of Emergency 2," one of VIS' key properties. Financial terms of the transactions were not disclosed. The deal includes VIS' 50% stake in an interactive TV joint venture with Telewest that owns the rights to the animated iTV horse-racing game, "I-RACE." San Jose, Calif.-based Bam said the companies' first joint effort will be the publishing of "State of Emergency 2," a sequel to the million unit-selling title that at one time topped both the U.S. and U.K. game charts.

Game Developer Bam Entertainment to Sell $2.3 Million in Shares

San Jose, Calif. -- Video game publisher Bam Entertainment said on Friday that it plans to raise $2.3 million through a private offering of its shares to institutional investors. The company will sell 2,532,522 shares and warrants to purchase another 1,519,513 shares at a share price of $0.92. In December, the company also raised $1.5 million in new financing. San Jose, Calif.-based Bam develops games for all console platforms and the PC, and has created games based on properties licensed from Cartoon Network, including "The Powerpuff Girls" and "Dexter's Laboratory."

Game Developer Bam Entertainment Gets $1.5 Million Investment

San Jose, Calif. -- Bam Entertainment, a developer and publisher of video games, announced on Wednesday that it has received a $1.5 million investment from Laurus Funds, a New York-based investment group. In an SEC filing made in November, San Jose, Calif.-based Bam said it would need additional funds to continue operating as a going concern. The company has developed games based on a number of Cartoon Network properties, such as "The Powerpuff Girls," as well on franchises including the "Wallace and Gromit" claymation series.

San Jose, Calif. -- Video game developer Bam Entertainment announced on Tuesday that the Nasdaq has delisted its shares from its main exchange, and that the stock will now trade on the Nasdaq SmallCap Market. The company also announced that president and chief operating officer Bernard Stolar is leaving the company to pursue other opportunities. Bam CEO Ray Musci will take over Stolar's duties, while Stolar will continue in a consulting capacity to the company. San Jose, Calif.-based Bam Entertainment has developed a number of games based on TV and film properties, including Cartoon Network's "Powerpuff Girls" and "Dexter's Laboratory," the films "Ballistic: Ecks vs. Sever" and "Reign of Fire," and Disney's "Winnie the Pooh."

San Jose-Based Bam Entertainment Applies for SmallCap Listing

San Jose, Calif. -- With its stock in danger of being delisted from the Nasdaq National Market, San Jose-based Bam Entertainment, a developer of interactive entertainment software, said on Tuesday that it has applied to transfer its stock to the Nasdaq SmallCap Market. A move to the SmallCap would give the company until at least May 19 to meet the market's listing requirements, including its $1 minimum bid price. Bam's stock price has not been above the $1 mark since last October.

Bam Entertainment Sells London Game Studio to VIS, Lowers Guidance

San Jose, Calif. -- Video game developer Bam Entertainment on Tuesday announced that it has signed a definitive agreement to sell the assets and operation of its London-based product development studio to U.K. developer VIS Entertainment. Financial terms were not disclosed. San Jose, Calif.-based Bam also lowered its anticipated revenue estimates for its fiscal second quarter 2003, which for the company included the 2002 holiday shopping season and ended on Dec. 31. Bam now expects net revenue in the range of $22 million to $23 million, less than previous estimates for the quarter of between $25 million and $30 million.
