Bain Capital to Acquire Japan's D&M Holdings for $441 Million

Boston - Private equity firm Bain Capital Partners has agreed to pay $441 million to acquire D&M Holdings, a Japanese manufacturer of consumer and commercial audio-visual electronics products under brands including Denon and Marantz.

D&M Holdings Sells ReplayTV DVR Unit to DirecTV

Tokyo - D&M Holdings, the Japan-based consumer electronics firm whose brands include Denon, Marantz and Boston Acoustics, announced on Thursday that it has sold most of the assets of its ReplayTV digital video recorder business to DirecTV Group (NASD: DTV). Financial terms of the deal were not disclosed.

Nokia has announced the appointment of Telcogames Co-Founder Mark Ollila to the role of Director of Technology and Strategy for Games and Multimedia. Ollila co-founded Telcogames in 2003, and remains a non-executive director of the company today. In his new role, Ollila will be responsible for technology strategy and business development, plus industry relations and marketing, partnerships and internal roadmapping. He will be based in Espoo, Finland.

D&M Holdings Names Eric C. Evans Co-CEO

Tokyo - D&M Holdings, the Japanese holding company whose assets include consumer electronics firms Denon, Marantz and ReplayTV, announced on Tuesday that it has named Eric C. Evans as co-chief executive officer. Evans, who will eventually succeed current D&M CEO Tatsuo Kabumoto, previously served as president and COO of electronic voting machine maker Diebold.

D&M Holdings to Shutter MP3 Player Maker Rio Audio

Tokyo -- Japanese consumer electronics firm D&M Holdings, whose brands include Denon, Marantz, ReplayTV and Rio, announced on Friday that it plans to exit the portable MP3 player market with the closure of its struggling Rio Audio business. The company agreed in July to sell the money-losing Rio's technology assets for $7 million, to chipmaker SigmaTel. D&M said it decided to close Rio, which it purchased in 2003, because "the mass-market portable digital audio player market was not a strong enough strategic fit with the company's core and profitable premium consumer electronics brands to warrant additional investment in the category," the company said in a statement, also citing "the costs required to effectively scale and compete in this sector, where competition has grown intense." The company expects to realize a loss of $25 million in shut-down related costs for the global Rio operations during its fiscal second quarter, in addition to a $22 million loss from discontinued operations at its U.S. Rio unit. "The digital audio market is evolving in such a way that our competitive advantage will be to focus on creating premium home network products that are designed for compatibility with a variety of client devices and services," said D&M Holdings president Vic Pacor.

D&M Holdings Sells Rio MP3 Technology to SigmaTel

Tokyo -- Japanese consumer electronics maker D&M Holdings announced on Wednesday that it has agreed to sell the technology assets of its Rio MP3 player manufacturing division to SigmaTel, which makes chips used in some of Rio's portable digital audio players. Financial terms of the transaction were not disclosed. Under the deal, Texas-based SigmaTel will hire most of Rio's engineering team, while Rio will retain a license for the MP3 technology sold to SigmaTel. In addition to Rio, Tokyo-based D&M Holdings also owns the Denon, Marantz, ReplayTV and Escient brands. D&M previously announced that it was examining strategic options for its money-losing Rio unit, and said today that it is still examining a possible sale of the company. SigmaTel said that although it will not acquire ownership rights to the Rio brand or inventory, it will gain some 15 MP3-related patents in the transaction. D&M purchased Rio -- one of the first MP3 player makers -- along with ReplayTV from Sonicblue in 2003 for $36 million.

Japan's D&M Holdings to Acquire Boston Acoustics for $76 Million

Peabody, Mass. -- Boston Acoustics, a Massachusetts-based maker of high-performance audio systems, has agreed to be acquired by Tokyo-based D&M Holdings, an electronic entertainment technology company, for about $76 million in cash. D&M said that the acquisition of Boston Acoustics provides it with a premium speaker line and the ability to deliver customers a complete home entertainment technology. The acquisition also gives D&M a strong foothold in the automotive equipment manufacturing business. D&M's branded products include A/V receivers, amplifiers and CD players; DVD players, DLP projectors and display plasma monitors; and digital media management systems.
