Seattle - Shareholders have approved digital music service provider Loudeye's $60 million buyout by cell phone maker Nokia, the company said in a regulatory filing. The deal expected to close next week. Meanwhile, several law firms have announced the filing of shareholder class actions against Seattle-based Loudeye, alleging the company artificially inflated its stock price between May 2003 and November 2005. One lawsuit, from New Orleans-based law firm KGS, said the company during this time was "operating well below guidance… not successfully integrating its acquisitions," and that its "restructuring was failing." The company's share price fell from a high of $30 per share in late 2004 to less than $2 per share by the time Loudeye announced Nokia's intention to acquire the company.

Overpeer provided services to record labels and movie studios that included seeding illicit file-sharing networks with "spoof" files, which contained only noise, or copyright warnings, instead of the expected song or video file. Overpeer "will continue to pursue options to maximize the value of its assets," Loudeye said. As a result, Loudeye will realize savings of $1.6 million, or 10%, in the current quarter as compared with the previous quarter, but added that the shutdown of Overpeer will incur $200,000 in severance pay and other associated costs. "We continue to focus our business on growth opportunities with digital distribution. Our actions to exit content protection services will substantially improve our go-forward cost structure," said Loudeye president and CEO Mike Brochu.

Cannes, France -- Cell phone maker Nokia on Monday announced that it has partnered with Loudeye, a provider of digital music retail services, to offer wireless network operators the ability to offer their own branded mobile music services. The service will let consumers browse, search, listen, and download full tracks and ringtones either to a cell phone or PC. Nokia partnered with Microsoft to integrate support for the company's Windows Media Audio and Video formats, and digital rights management technology into the branded music services. Separately, Finland-based Nokia also introduced a new smartphone model that includes an integrated music player with stereo output, full Internet browser, and both a 1.3 megapixel still image camera and two-way video camera. The Nokia 6680 will go on sale in Europe in April for about $580; a version of the smartphone for the Americas is scheduled to ship in the second quarter of 2005.

San Francisco -- PCWorld.com recently reported that Overpeer, an anti-piracy firm owned by Seattle-based Loudeye, has been seeding peer-to-peer file-sharing networks with spoof music and video files that launch pop-up ads, install adware and attempt to hijack a browser's home page. When a user downloads such a Windows Media Audio or Video file on a peer-to-peer network and then attempts to open it, the file launches the ads or adware instead of playing back the expected music or video. "Remember, the people who receive something like (the ad-laden media files), in some cases, were on P-to-P, and they were trying to get illicit files," Loudeye vice president Marc Morgenstern told PCWorld.com. Microsoft said it was looking into whether the spoof files violate the terms of its Windows Media licensing. "We wouldn't want to endorse anything that involved delivery of content that appears to be one thing, and then something else is delivered," Microsoft's David Moulton told PCWorld.com. When notified that ads for its company were being launched in this fashion, one company, Kanoodle, promptly had them removed. "Upon detecting or discovering any prohibited distribution activity, we eliminate it immediately," Kanoodle president Lance Podell told PCWorld.com.

Seattle-based Loudeye said that Overpeer currently protects more than 60,000 digital entertainment titles, and that each month it averages 25 billion digital download hits against its servers, blocking distribution of copyrighted material across 200 million unique user sessions.

Seattle -- Loudeye Technologies, a provider of streaming song samples and other digital media services, announced on Tuesday that it has agreed to acquire U.K.-based Internet music firm OD2 (On Demand Distribution) for $39 million. Loudeye President and CEO Jeff Cavins said that the acquisition of OD2 -- co-founded by Charles Grimsdale and musician Peter Gabriel in 2000 -- would allow his company to become "the largest business-to-business digital media provider in the world with the largest licensed digital music catalogue in the industry." OD2 currently supplies music to Microsoft's MSN, Viacom Inc.'s MTV and Coca-Cola, among others. The newly merged Loudeye said it would be able to sell music in the U.K., France, Germany, Italy, Spain, Austria, Switzerland, Ireland, Denmark, Belgium and the Netherlands, and that it would have rights to more than 1.3 million tracks in Europe and 4.6 million in the U.S.
