Microsoft Acquires Mobile Music Firm Musiwave for $46 Million

Redwood City, Calif. - Openwave Systems (NASD: OPWV) announced on Thursday that it has agreed to sell its Musiwave mobile music service provider unit to Microsoft (NASD: MSFT) for $46 million in cash.

Redmond, Wash. - Microsoft (NASD: MSFT) announced on Monday that it intends to acquire Musiwave, the France-based unit of Openwave (NASD: OPWV) that provides mobile music entertainment services to wireless carriers.

Redwood City, Calif. - Musiwave, a provider of mobile music delivery services, announced on Monday that it signed an agreement to power a mobile music service for wireless carrier Cricket Communications. Set to launch for Cricket subscribers nationwide later this year, the deployment is Musiwave's first in the U.S. market; the company also powers mobile music services for Vodafone, Telefonica and Orange in Europe; and for Telus in Canada.

Redwood City, Calif. - Musiwave, a provider of mobile music download services, announced on Friday that it is powering the mobile music subscription service launched earlier this month by Canadian carrier Telus. Telus Mobile Music is the first subscription-based, full-track mobile music service to launch in North America. Musiwave also powers mobile music services for 35 mobile operators in 25 countries, including Vodafone, T-Mobile, Orange and Telefonica.

Bedford, Mass. - Mobile music service provider Groove Mobile announced on Monday that it has been selected to power the mobile music download service for wireless network operator 3UK, replacing Musiwave as 3UK's mobile music service partner. Groove said its service provides enhanced handset support, as well as the ability to purchase tracks from a PC and for dual download to PC and mobile phones. Massachusetts-based Groove Mobile also powers mobile music services for Orange, Telnor and TMN in Europe.

Paris - Mobile music service provider Musiwave announced that it will provide wireless network operator Vodafone UK's hosted music services for downloads of music videos, music and video ringtones, and artist wallpapers. Paris-based Musiwave also powers mobile music entertainment services to more than 35 mobile operators in 25 countries, including T-Mobile, Telefonica and Orange.

Paris - Musiwave, a provider of mobile music services, announced on Friday that it partnered with French video compression developer Actimagine to launch a line of full-motion video mobile phone ringtones. Musiwave previously offered Pictones, which combine songs with an animated image slideshow; the new offering upgrades Pictones to full-motion video. Musiwave's new full-video Pictones have launched with wireless carrier Vodafone Italy, and are expected to expand to additional carriers this year.

Las Vegas - Musiwave, a provider of mobile music download services, announced on Wednesday that its 22 network partners are now selling a combined over one million over-the-air tracks per month using its service. Carriers including Orange and SFR in France, and Telus in Canada have deployed the Musiwave service. Separately, the company said on Wednesday that its Smart Radio service is now available for Java-enabled mobile phone handsets.

Paris - Musiwave, a provider of branded mobile music entertainment services, said on Friday that it signed an agreement with SFR, a France-based affiliate of Vivendi Universal and Vodafone, to power a full-track subscription-based mobile music download service. Digital rights management for the service will be provided by Switzerland-based Secure Digital Container (SDC). The SFR service will offer access to 80,000 songs from the Universal Music catalog.

Openwave to Buy France's Musiwave for $121 Million

Paris - Openwave Systems Inc., a Redwood City, Calif.-based communications software firm, announced that it has agreed to acquire Musiwave, a France-based provider of music tracks and ringtones for mobile phones, for approximately 100 million euro ($121 million) in cash. Under the terms of the acquisition, Openwave will acquire all of Musiwave's shares for about 99.5 million euro, paying an additional 15 million euro if the Paris-based company meets a number of financial targets next year. "Together, Openwave and Musiwave will deliver a wide variety of music experiences -- from ringtones, ringback tones and video tones to full track and streaming services -- to a broad range of customers, while strengthening relationships with our existing complimentary wireless, broadband and handset customer base including Vodafone, Telefonica, Amena, France Telecom and Sagem," said Musiwave chairman Gilles Babinet.
