Justice Department Clears Intelsat Acquisition of PanAmSat

Washington - Clearing a major regulatory hurdle, Intelsat, the large D.C.-based provider of satellite services, said on Friday that the Justice Department's Antitrust Division has approved its $3.2 billion acquisition of Connecticut-based rival PanAmSat.

Wilton, Conn. -- DirecTV, a provider of satellite TV and Internet services, has agreed to sell its New York-based PanAmSat subsidiary, the owner and operator of a fleet of 24 satellites, to private equity firm Kohlberg Kravis Roberts & Co., for about $3.55 billion in cash, plus the assumption of about $750 million in cash. The deal will allow DirecTV to focus on its core business as a provider of entertainment and information, the company said. As part of the transaction, DirecTV agreed to extend and enhance certain agreements between itself and PanAmSat, at market rates, in order to assure future revenue flows.

PanAmSat to Launch Satellite Specifically for HDTV

Wilton, Conn. -- PanAmSat launched a satellite at sea early Wednesday morning, which will serve as a platform for distributing high definition television (HDTV) programs. Galaxy XIII will be home to the first grouping of HDTV programs in the U.S. on one satellite, company officials said. The satellite will serve content providers who may ultimately provide HDTV programs to as many as 50 million households. The satellite is expected to begin operating by January.
