Tokyo -- D&M Holdings, parent company of Japanese consumer electronics firms Denon and Marantz, announced that it has emerged as the successful bidder for the ReplayTV personal video recorder business and Rio MP3 player business of bankrupt consumer electronics firm Sonicblue. Tokyo-based D&M paid only $36.2 million for the units, compared to the $40 million it initially offered Sonicblue in a deal that fell through as its deadline expired. The company will acquire Sonicblue's inventory, receivables, intellectual property and capital equipment, as well as selected contractual relationships and liabilities. D&M also intends to keep all ReplayTV customers and will design, manufacture and distribute a line of ReplayTV and Rio products, under a newly created division called Digital Networks North America. Santa Clara, Calif. -- Bankrupt consumer electronics firm Sonicblue announced on Monday that Opta Systems, an investment and development company, was the successful bidder for its GoVideo business unit. Previously, Santa Clara, Calif.-based Sonicblue said it had signed an agreement to sell GoVideo, which produces such products as a dual-deck VCR and DVD/VCR combinations, to Opta for $12.5 million. Last week, Sonicblue said a deal to sell its ReplayTV and Rio business units to a holding company operated by Japanese electronics firms Denon and Marantz had fallen though. Those units will be sold in two separate auctions on April 15.

Sonicblue, which filed for Ch. 11 bankruptcy protection last week, said at the time it had a letter of intent to sell the units for $40 million to Japanese electronics firm D&M Holdings, Inc.; however, the companies failed to produce a final asset purchase agreement prior to the United States Bankruptcy Court appointed deadline. "While we worked very hard with the D&M team over the last few weeks, we were just not able to finalize all of the needed terms before the court set deadline," said Sonicblue CEO Greg Ballard. Santa Clara, Calif.-based Sonicblue said it will not appeal the decision. The company announced last week that it would declare bankruptcy and is seeking to sell off its ReplayTV, Rio and GoVideo businesses. Sonicblue said then it had buyers willing to acquire the assets for a combined $52.5 million.

The company also said it has signed a letter of intent to sell its ReplayTV digital video recorder business and Rio portable digital audio player business for $40 million to D&M Holdings, the parent company of Japanese audio equipment firms Denon and Marantz Japan. Additionally, Sonicblue intends to sell its GoVideo electronics unit to Opta Systems, a subsidiary of Carmco Investments, for $12.5 million. It also reported receiving $4 million in financing to continue operations. "We have great confidence in our business units, and worked to develop a plan that would permit Sonicblue to continue operating within the significant constraints imposed by our debt and legacy liabilities," said Sonicblue CEO Gregory Ballard. "In the end, we and our financial advisors have concluded that the best outcome for our creditors and our employees is to sell our businesses to better heeled owners." Santa Clara, Calif. -- Consumer electronics firm Sonicblue, manufacturer of the ReplayTV personal video recorder and Rio line of MP3 players, announced on Friday that, "in light of the amount of debt" the company holds, it is currently seeking new investors, including a potential party to acquire the company, its business units or assets. To that end, the company has hired financial advisor Houlihan Lokey Howard & Zukin to help explore its strategic options. "Sonicblue has improved its operational performance, and its new product lines are well poised for 2003," said CEO Gregory Ballard. "The goal of this process is to clear the way for the Company's businesses to continue their strong growth in the market, unburdened by the amount of debt now carried on the Company's balance sheet."
